4. Audit Services

4.1 Service Engagement

Our audit services are provided subject to a separate engagement agreement. These Terms supplement but do not replace the terms of any such agreement.

By requesting our audit services through this website, you are expressing interest in our services but are not yet entering into a binding service agreement.

4.2 Client Responsibilities

If you engage our audit services, you agree to:

• Provide accurate and complete information necessary for the audit
• Cooperate with our audit team throughout the engagement
• Pay all fees as specified in the engagement agreement
• Use the audit findings and reports in accordance with the engagement agreement

5. Fees and Payment

The fees for our services are as specified on our website or in the engagement agreement. We reserve the right to change our fees at any time, but changes will not affect services already engaged.

All payments are due according to the terms specified in the engagement agreement. Late payments may be subject to interest charges.

6. Limitation of Liability

To the maximum extent permitted by law, in no event shall FinAudix Inc., its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use our services
• Any conduct or content of any third party on our services
• Any content obtained from our services
• Unauthorized access, use or alteration of your transmissions or content

7. Indemnification

You agree to defend, indemnify, and hold harmless FinAudix Inc., its directors, employees, partners, agents, suppliers, and affiliates, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of our services.

8. Termination

We may terminate or suspend your account and access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use our services will immediately cease. If you wish to terminate your account, you may simply discontinue using our services.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.
